Partner Terms & Conditions — Sarffin Financial Advisors (P) Ltd.

Ethical Business Conduct: The Partner shall conduct all business activities with honesty, integrity, transparency, and in compliance with all applicable laws, regulations, and industry best practices.
Transparent Client Communication: The Partner shall ensure that all representations made to clients are fair, accurate, and not misleading. No assurance or guarantee of returns, capital protection, or investment performance shall be provided under any circumstances.
Fair & Transparent Pricing: All fees, commissions, and charges payable by clients shall be transparently disclosed in advance. No undisclosed, unauthorized, or additional charges shall be collected.
Client Confidentiality & Data Protection: The Partner shall maintain strict confidentiality of all client information, transaction details, and proprietary business information of Sarffin, and shall comply with all applicable data protection and privacy laws.
Non-Compete Obligation: During the term of association, the Partner shall not establish, promote, represent, or participate in any business or platform that directly competes with the products or services offered by Sarffin without prior written consent.
Trade Execution & Settlement: All transactions shall be executed on a Spot Contract basis and settled strictly within the mutually agreed timelines. Any delay or default shall be governed by Sarffin's prevailing settlement policies.
Regulatory Compliance & KYC: The Partner shall ensure compliance with all applicable regulatory requirements, including KYC, AML, FEMA (where applicable), and any other statutory obligations. The Partner shall assist in obtaining and maintaining all necessary documentation from clients.
Commission & Payment Terms: Commissions shall be payable strictly in accordance with the mutually agreed commercial terms. Sarffin reserves the right to withhold, adjust, defer, or recover commissions in cases of transaction reversal, payment default, regulatory non-compliance, client disputes, or breach of this Agreement.
Non-Solicitation: The Partner shall not, directly or indirectly, solicit, induce, or attempt to solicit any client, investor, employee, consultant, or business associate of Sarffin for competing products or services during the term of this Agreement and for a period of 24 months following its termination.
Intellectual Property Rights: All trademarks, trade names, logos, branding, marketing materials, presentations, research reports, software, databases, and other proprietary information belonging to Sarffin shall remain its exclusive property. The Partner shall not reproduce, distribute, or use such intellectual property without prior written authorization.
Termination of Association: Either party may terminate this Agreement by providing 30 days' prior written notice. Sarffin reserves the right to terminate the association with immediate effect in the event of fraud, misconduct, breach of confidentiality, regulatory violations, reputational damage, conflict of interest, or any material breach of this Agreement.
Dispute Resolution: Any dispute arising out of or in connection with this Agreement shall first be resolved through mutual discussions in good faith. If unresolved within 30 days, the dispute shall be referred to arbitration in accordance with the Arbitration and Conciliation Act, 1996, and the venue of arbitration shall be Kolkata. The arbitration proceedings shall be conducted in English.
Governing Law & Jurisdiction: This Agreement shall be governed by the laws of India. Subject to the arbitration clause above, the courts at Kolkata, West Bengal, shall have exclusive jurisdiction over all matters arising from or relating to this Agreement.
